1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the Opimatic website, platform, APIs, and associated services (collectively, the "Services"). By registering for an account or using our Services, you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company, agency, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Accounts & Responsibilities

To access the Opimatic platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

  • Account Security: You are responsible for safeguarding your password and for all activities that occur under your account, including activities within any client sub-accounts provisioned by your agency.
  • Authorized Users: You may not share your login credentials. If you are on an Agency plan, you must provision distinct logins for your staff and clients using our role-based access controls.

3. Subscription & Billing

Opimatic is offered on a subscription basis. By selecting a subscription plan, you agree to pay the applicable fees described at the time of checkout.

  • Billing Cycle: Subscription fees are billed automatically on a recurring basis (monthly or annually) depending on your selected plan.
  • Upgrades/Downgrades: You may upgrade or downgrade your plan at any time. Prorated charges or credits will be applied to your next billing cycle.
  • Refunds: Except when required by law, paid subscription fees are non-refundable. You may cancel your subscription at any time, and you will retain access to the Services until the end of your current billing period.

4. Acceptable Use Policy

You agree to use Opimatic in compliance with all applicable local, state, national, and international laws. Specifically, when using our omnichannel and WhatsApp automation tools, you agree not to:

  • Send unsolicited promotional messages, spam, or bulk communications without explicit user consent.
  • Violate the terms of service of third-party platforms we integrate with (e.g., Meta/WhatsApp Business policies, Shopify API terms).
  • Use the Services to transmit malicious code, viruses, or any material that is illegal, defamatory, or infringes on intellectual property rights.

5. Intellectual Property

Our Rights: Opimatic retains all right, title, and interest in and to the Services, including all software, design, text, algorithms, and trademarks. You are granted a limited, non-exclusive, non-transferable license to use the Services.

Your Rights: You retain all ownership rights to the data, content, and customer lists you upload or connect to the Opimatic platform. You grant us a license to host and process this data solely for the purpose of providing the Services to you.

6. Limitation of Liability

To the maximum extent permitted by law, Opimatic and its affiliates, suppliers, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your access to or use of (or inability to access or use) the Services.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.

7. Termination

We may suspend or terminate your access to the Services immediately, without prior notice or liability, if you breach any of these Terms (particularly the Acceptable Use Policy). Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply cancel your subscription and discontinue using the platform.

8. Governing Law & Contact

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Opimatic is registered, without regard to its conflict of law provisions.
